Business Responsibility and Sustainability Reporting (BRSR) Framework (SEBI)

Current Affairs & Government Schemes › Important Reports, Indices and Surveys · Topic 18.12

The Business Responsibility and Sustainability Report (BRSR) is the mandatory annual environmental, social and governance (ESG) disclosure format of the Securities and Exchange Board of India (SEBI) for listed companies. SEBI introduced it in May 2021, replacing the earlier Business Responsibility Report, and made it mandatory for the top 1,000 listed companies by market capitalisation from 2022-23. It is based on the nine principles of the National Guidelines on Responsible Business Conduct, 2019 of the Ministry of Corporate Affairs. A narrower set called BRSR Core carries assurance by independent providers, phased in from 2023-24 for the largest companies.

Where Does It Fit?

This topic moves from public indices to corporate disclosure. It connects ESG reporting to climate goals and to the data used in sustainability indices that the macro covers. Previous topic: Financial Inclusion Index (Reserve Bank of India). Next topic: Global Hunger Index (India Rank and Methodology).

What Does the BRSR Framework Require?

Section Content
Section A General disclosures about the company, such as products, operations, employees, CSR details and turnover
Section B Management and process disclosures on policies, governance, leadership and oversight of the nine principles
Section C Principle-wise performance disclosures with Essential Indicators that all companies report and Leadership Indicators that are voluntary
Reporting basis The nine principles of the National Guidelines on Responsible Business Conduct, covering ethics, safe products, employee wellbeing, stakeholders, human rights, environment, policy advocacy, inclusive growth and consumer value
Applicability Top 1,000 listed entities by market capitalisation, with voluntary reporting for 2021-22 and mandatory reporting from 2022-23
Earlier format The Business Responsibility Report, introduced for the top 100 companies in 2012 and extended to the top 500 in 2015 and the top 1,000 by 2019, was replaced by BRSR

What Is BRSR Core and How Has It Been Phased?

  • BRSR Core: A subset of the BRSR with nine ESG attributes and key performance indicators, designed so that data can be assured and compared
  • Attributes: Include greenhouse gas footprint, water footprint, energy footprint, waste management, employee wellbeing and safety, gender diversity, inclusive development, fairness of engagement with customers and openness of business
  • Assurance: Reasonable assurance by an independent provider is required for BRSR Core
  • Phase-in: As reported, the top 150 companies from 2023-24, the top 250 from 2024-25, the top 500 from 2025-26 and the top 1,000 from 2026-27
  • Easing: SEBI in 2025 reportedly eased the wording to assessment or assurance for some companies and phases, so rules should be checked
  • Value chain: SEBI also asked the top 250 listed companies to make disclosures for value chain partners from 2024-25, with assurance voluntary at first, as reported
  • Place of report: The BRSR is filed as part of the annual report and on stock exchange portals
  • Verification: Applicability dates were revised more than once, so SEBI circulars should be read for the current position

What Else Should You Remember?

  • Regulator: SEBI is the statutory regulator of the securities market, under the SEBI Act, 1992, and it frames disclosure rules through the Listing Obligations and Disclosure Requirements Regulations, 2015
  • Link to the Companies Act: Section 135 requires CSR spending of 2 per cent of average net profit for eligible companies, and CSR details appear in the BRSR
  • ESG meaning: Environmental, social and governance factors used to judge a company sustainability and risk
  • Greenwashing: False or misleading ESG claims. SEBI has framework rules on ESG rating providers and has proposed curbs on misleading claims
  • International link: The framework is consistent with the Task Force on Climate-related Financial Disclosures and other global standards, and the International Sustainability Standards Board standards are a global reference
  • Climate commitments: India aims for net zero by 2070 and 500 gigawatts of non-fossil capacity by 2030, and company data helps track these goals, as in NITI Aayog with MoSPI and UN in India First edition December 2018 Latest verified 2023-24 (July 2024) India…">Sustainable Development Goals India Index
  • Investor use: Asset managers and rating firms use BRSR data to assess company risks
  • Challenges: Cost of assurance, data quality, limited expertise in smaller firms and the risk of box-ticking
  • Scope: The framework applies to listed entities, so unlisted and small firms are outside its mandate
  • Common mistakes: Saying the Ministry of Corporate Affairs issues BRSR or that it is voluntary for all listed firms

Why Does It Matter for the Exam?

  1. Regulator: SEBI
  2. Start: 2021, mandatory from 2022-23 for the top 1,000 companies
  3. Basis: NGRBC 2019 with nine principles
  4. BRSR Core: Assured indicators, phased by market capitalisation
  5. Common errors: Mixing BRSR with CSR or with the old Business Responsibility Report

As an analytical point, reliable and comparable ESG data helps investors, regulators and citizens hold firms to account. Strong assurance and simple, standard metrics guard against greenwashing while keeping the cost of compliance reasonable.
